The International Society for Stem Cell Research provides this Site, A Closer Look at Stem Cells, www.closerlookatstemcells.org, to help the public, patients and their families and doctors learn more about stem cells, stem cell research and treatments. The ISSCR will update and expand this Site over time, adding additional information and resources.

ACCEPTANCE OF TERMS OF USE (“TERMS”)
YOUR USE OF AND BROWSING OF THE SITE AND ITS CONTENTS ARE SUBJECT TO ALL TERMS AND CONDITIONS CONTAINED HEREIN AND ALL APPLICABLE LAWS AND REGULATIONS. BEFORE USING THIS SITE, PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCESSING AND USING SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THESE TERMS AS IF YOU HAD SIGNED THEM. These Terms may be revised or updated by the ISSCR from time to time. You should check the Terms regularly for updates. You can determine when the Terms were last revised by referring to the “Last Revised” legend at the top of this page. Any changes in these Terms take effect upon posting and will only apply to use of the Site after that date. Each time you access, use or browse the Site, you signify your acceptance of the then-current Terms.

PERMITTED USERS OF SITE
The Site is provided for persons 18 years of age or older, who are the age of majority in the jurisdiction of their residence.

Children
The Site is not directed to children under 13 years of age nor does the ISSCR knowingly collect information from children under age 13. If you are under age 13, you are not permitted to submit any personally identifiable information to the Site. If you are under 18 years of age, you may browse the Site but you may not submit any personal information to the Site.

PERMITTED USE OF SITE
The content available through the Site (the “Content”) is the sole and exclusive property of the ISSCR and/or its licensors. You agree not to reproduce, duplicate, copy, modify, create derivative works, sell, resell or exploit for any commercial purpose, any portion of the Site or the Content other than as expressly authorized by the ISSCR in writing. Use of the Site or the Content in any way not expressly permitted by these Terms is prohibited, and may be actionable under United States or international law.

So long as you agree and comply with the Terms, and unless these Terms are otherwise terminated or revised by the ISSCR, you are permitted to view, use and print portions of the Site and the Content solely for your own purposes; provided, however, that you may not duplicate, publish, modify, distribute, perform or create derivative works from any part of the Site or the Content unless expressly authorized by the ISSCR in writing. You agree that you will not remove or modify any acknowledgements, credits or legal notices contained on the Site or in the Content.

You agree not to access the Site by any means other than through a standard web browser. You agree not to access the Site through automated means. You further agree that you will not damage, disable, overburden or impair the Site or interfere with any other party’s use and enjoyment of it.

INTELLECTUAL PROPERTY RIGHTS
You hereby acknowledge and agree that, as between the ISSCR and you, all right, title, and interest in and to the Site and the Content, including without limitation any patents, copyrights, trademarks, trade secrets, inventions, know-how, and all other intellectual property rights and all text, images, graphics, icons, media, software, data and information, are owned exclusively by the ISSCR or its licensors and are protected by United States intellectual property and other applicable laws.

The ISSCR name, the term “ISSCR,” the ISSCR logo and all related names, logos, designs and slogans are trademarks of the ISSCR. You must not use such marks without the prior written permission of the ISSCR. The trademarks and logos used in connection with the Site are trademarks of the ISSCR and/or its licensors. Unauthorized use of any the ISSCR trademark, service mark or logo may be a violation of trademark or other laws. Any third party names or trademarks referenced in the Site do not constitute or imply affiliation with, endorsement, or recommendation of the ISSCR by the respective trademark owners, or by ISSCR of the respective trademark owners.

YOUR INDEMNITY OF THE ISSCR
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD THE ISSCR, ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS AND OTHERS ACTING IN CONCERT WITH IT, HARMLESS FROM ANY LOSS, LIABILITY, CLAIM OR DEMAND, INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEYS’ FEES, ON YOUR BEHALF OR MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF (A) YOUR CONNECTION OR SUBMISSION TO OR USE OF THE SITE OR THE CONTENT; OR (B) YOUR VIOLATION OF THESE TERMS, ANY APPLICABLE LAWS, OR THE RIGHTS OF THE ISSCR OR ANY THIRD PARTY.

The Site may contain links to websites operated by other parties. The ISSCR provides these links to other websites as a convenience, and your use of these sites is at your own risk. The linked sites are not under the control of the ISSCR, and the ISSCR is not responsible for the content available on these third party sites. THE ISSCR MAKES NO REPRESENTATION OR WARRANTY AS TO AND HAS NO RESPONSIBILITY OR LIABILITY FOR THE ACCURACY, COMPLETENESS, AVAILABILITY, TIMELINESS OR RELIABILITY OF THE SITE OR ANY CONTENT AVAILABLE THROUGH THE SITE. Exclusions and Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. This Limitation of Liability shall be to the maximum extent permitted by applicable law.

GOVERNING LAW AND DISPUTES
These Terms shall be governed by, and will be construed under, the laws of the State of Illinois, U.S.A., without regard to choice of law principles. Those who choose to access the Site from locations outside of the United States do so on their own initiative, and are responsible for compliance with local laws if and to the extent local laws are applicable. You irrevocably agree to the exclusive jurisdiction by the federal and state courts located in or for Cook County, in the State of Illinois, U.S.A., to settle any dispute which may arise out of, under, or in connection with these Terms, as the most convenient and appropriate for the resolution of disputes concerning these Terms, the Site or its Content. Any cause of action or claim you may have with respect to these Terms or the ISSCR, the Site or its Content must be commenced within six (6) months after the claim or cause of action arises or such claim or cause of action shall be barred.

The Site is controlled within the United States of America. The ISSCR does not represent that the Site or Content are appropriate outside the United States of America. You acknowledge and agree that you access the Site of your own volition and are responsible for compliance with applicable local laws.

FORCE MAJEURE
The ISSCR shall not be liable for any delay or failure to perform resulting from causes outside the reasonable control of the ISSCR, including without limitation any failure to perform hereunder due to unforeseen circumstances or causes beyond the ISSCR’s control such as acts of nature or God, fire, flood, earthquake, accidents, strikes, war, terrorism, governmental act, failure of common carriers (including without limitation Internet service providers and web hosting providers), or shortages of transportation facilities, fuel, energy, labor or materials.

MISCELLANEOUS
If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms shall remain in full force and effect. Headings are for reference only and in no way define, limit, construe or describe the scope or extent of such section. The ISSCR’s failure to act with respect to any failure by you or others to comply with these Terms does not waive the ISSCR’s right to act with respect to subsequent or similar failures. These Terms set forth the entire understanding and agreement between you and the ISSCR with respect to the subject matter hereof. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the ISSCR, and any assignment or transfer in violation of this provision shall be null and void. There are no third party beneficiaries to these Terms.
